Overview

Fund administration is often thought about as focusing on preparation of the NAV, but our team of professionals have experience providing a broad range of services and can provide full back office support to investment funds from small start-ups seeking to develop their track record to large trading funds with high frequency trading.

Our clients currently invest across a range of asset classes including: listed stocks and securities, property, private equity and crypto assets and within these asset classes run a range of different strategies.

Gibraltar

Gibraltar is a competitive jurisdiction for establishing and operating an investment fund and is ranked 3rd in the world for crypto funds by PWC. Gibraltar’s corporate and personal tax regimes are competitive with a corporate tax rate of 12.5% applied on a territorial basis. There is no VAT, capital gains or dividend or withholding tax for non-Gibraltar residents.

Fund Vehicles

There are two main fund vehicles: private funds and experienced investor funds.

Experienced Investor Funds

    • Regulated by Gibraltar Financial Services Commission and open solely to Experienced Investors.
    • Must have a regulated fund administrator.
    • Authorisation process available pre-launch or up to 10 days post-launch meaning speed to market.
    • Unlimited number of investors and can be promoted to Experienced Investors in accordance with the regulations of relevant jurisdictions.
    • Can be self-managed by their board of directors.
    • Must have at least one EIF regulated director (normally two) and individuals outside Gibraltar can apply to be regulated directors.
    • Subject to annual audit.
    • No requirement to have a depositary.

Private Funds

    • Private Funds cannot be marketed publically and are limited to an identifiable group and up to 50 offerings.
    • Unlimited assets under management (subject to any requirements of AIFMD).
    • Can be self-managed by their board of directors and there are no local residency requirements.
    • Do not typically require audit.
    • No requirement to have a bank account or depositary.
    • Usually require a regulated fund administrator.
